Types of Director Changes

Companies House requires you to file the appropriate form within 14 days of any change to your company's directors. The three main forms are AP01 to appoint a new director, TM01 to terminate or remove a director, and CH01 to update a director's personal details such as their name, address, nationality, or date of birth.

Each change requires a separate filing. If you are both removing one director and appointing another, that's two filings. Our £10.99 fee covers one filing, just add the relevant number to your order.

Appointing a New Director

To appoint a new director, you need their full legal name, date of birth, nationality, usual residential address, and a service address (which will appear on the public register). The person must be at least 16 years old and cannot be an undischarged bankrupt or disqualified director.

From November 2025, new directors must complete identity verification with Companies House before their appointment can be registered. This can be done through GOV.UK One Login (free) or through an Authorised Corporate Service Provider (ACSP). We offer ID verification as a separate service for £48.00.

Removing a Director

A director can be removed by resignation or by board resolution, depending on the company's Articles of Association. You should retain a copy of the resignation letter or board minutes for the company's records, though Companies House does not need to see them.

The TM01 form must be filed within 14 days of the director leaving. If the departing director was also a shareholder or Person with Significant Control (PSC), you will need to update those records separately.

Important: removing a director must not leave the company with fewer directors than required by the Articles. A private limited company must have at least one director.

ID Verification Requirements for Directors

Under the Economic Crime and Corporate Transparency Act 2023, all company directors must verify their identity with Companies House. From 18 November 2025, this is mandatory for new appointments. Existing directors have a 12-month transition period, meaning all directors must be verified by November 2026.
